1. These terms

ClearSalary is operated by [LEGAL ENTITY NAME] ("ClearSalary," "we," "us," or "our"). These Terms & Conditions govern your use of the ClearSalary mobile app, website and related services (together, the "Service"). By creating an account or using the Service, you agree to these terms. If you do not agree, please do not use the Service. Our Privacy Policy explains how we handle personal information and forms part of these terms.

2. Who may use ClearSalary

You must be at least 18 years old and capable of entering into a binding contract. The Service is intended for business use — keeping a private record of staff salaries and loans — and not for personal or consumer lending. If you use the Service on behalf of a business, you confirm you are authorised to accept these terms for that business.

3. Your account

You sign in with your mobile number and a one-time passcode sent by SMS. Keep access to that number secure — anyone who can receive your codes can reach your account. You are responsible for everything done through your account, and for the accuracy of the information you enter. Tell us at support@clearsalary.in if you believe your account has been accessed without your permission.

4. Employers and Staff

There are two kinds of account. An Employer creates a business and enters staff, salary, loan, deduction and attendance records. A Staff member may be invited to sign in and view their own records, read-only.

5. What ClearSalary is not

ClearSalary is not payroll software. It does not calculate, withhold, file or remit statutory deductions, provident fund, professional tax, TDS or any other tax or compliance obligation, and it does not move money or process payments. It does not provide legal, tax, accounting or financial advice. You remain responsible for meeting your own obligations as an employer, and should take professional advice where you need it.

6. Acceptable use

You agree not to use the Service to break the law, to record information you have no right to hold, to harass or exploit anyone, or to operate a money-lending business. You also agree not to attempt to access another business's data, probe or disrupt the Service, reverse-engineer it, or use it to build a competing product. We may suspend accounts that do these things.

7. Your data

The records you enter remain yours. You grant us the limited permission needed to host, process, back up and display that data so we can run the Service for you. We do not sell it. You can delete your account and its data in the app under Settings → Account; how deletion works, and what we keep, is described in Section 8 of our Privacy Policy.

8. Price

ClearSalary is free to use while we're building it out, for your whole business, with no card required and nothing to buy inside the app. If we introduce paid features in future, we will give you notice before they apply to your account, and you will never be charged without agreeing first.

9. Availability and changes

We work to keep the Service running, but we do not guarantee it will be uninterrupted or error-free, and we do not offer a service-level commitment. We may add, change or withdraw features. If we plan to discontinue the Service or make a change that materially reduces it, we will give you reasonable notice and a way to export or retrieve your records.

10. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or end access if you breach these terms, if your use puts the Service or other users at risk, or if we are required to by law — normally with notice, and immediately where the circumstances are serious.

11. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. You are responsible for checking that the figures you rely on are correct — ClearSalary records what you enter, and cannot know whether an entry is right.

12. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or for lost profits, lost business or lost data. Because the Service is provided free of charge, our total liability to you for any claim relating to the Service is limited to ₹1,000. Nothing in these terms excludes liability that cannot be excluded by law.

13. Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from your use of the Service in breach of these terms, or from the records you choose to store — including any claim brought by a member of your staff about the information you have entered about them.

14. Changes to these terms

We may update these terms from time to time. We will post the updated version here with a new "Last updated" date, and where the changes are material we will let you know in the app. Continuing to use the Service after a change means you accept the updated terms.

15. Governing law

These terms are governed by the laws of India. The courts at [YOUR CITY], [YOUR STATE] have exclusive jurisdiction over any dispute arising from them, and you and we submit to that jurisdiction.
